NewTech reserves the right to change these Terms and Conditions from time to time. Please refer to this site periodically for any changes.

Pricing

  1. Once our Customer accepts an order, Customer expresses confirmation that the order is correct in configuration and price.
  2. It is the responsibility of the Customer to ensure that our quotation is suitable for end-user requirements.
  3. Newtech Price lists for APC products, Microsoft Full Package Products and Microsoft Volume Licenses are quoted wholesale per unit exclusive of VAT. The Veritas price list, downloadable for the Veritas Partner Program site is quoted in ERP. The OEM price List, intended for hardware suppliers and system builders, shows prices quoted per pack as stated in the price table. The prices for Veritas Software are quoted Estimated Retail per unit and do not include VAT.
  4. When receiving prices from Newtech, or downloading prices from Newtech Web Site, it is the Customers responsibility to check the correct price elements, such as unit of measure, wholesale price or Estimated Retail price and that any Special Deal discounts are communicated to you in writing.

Orders

  1. Requests for Microsoft or Vertias Volume License orders (licence certificates) cannot be submitted before all the customer information is available. Please ensure that the following information is provided:
    • Company Name
    • Full address
    • Telephone number
    • Full name of Contact Person [signatory]
    • Email address of Contact Person
  1. Orders for Microsoft Volume Licenses are subject to a minimum quantity of 5 licenses.
  2. Valid Microsoft Price Protection Authorisation Numbers should be quoted when placing repeat orders.
  3. Should you require a Volume Licenses Fulfilment Media CD please request one when purchasing the Volume License.

Special Deals

  1. Any special deals, including discounts or special pricing deals based on volume are subject to approval by NewTech.
  2. All special deals may only be negotiated against firm orders.

Delivery

  1. Delivery of products available from stock is strictly on 'first come first served' basis.
  2. Delivery of physical products takes approximately 3 to 4 weeks from order date.
  3. All delivery dates are approximates only but every effort will be made to avoid delay.
  4. In the event that the products are not delivered within one (1) week of the delivery dates it is accepted that the products shall not have been delivered in accordance with the terms of this Agreement. In such case, please notify NewTech immediately.
  5. Shipments shall be made to the delivery address unless notice in writing is received by the NewTech from the customer.
  6. In the event that NewTech fails to deliver the products in accordance with the terms of this Agreement, the customer shall have the right to cancel his order in accordance with the rules specified hereunder, unless the Force Majeure provisions apply.

Payment terms

  1. NewTechs standard payment terms is cash on delivery.
  2. NewTech may agree to change the standard payment terms to 30 days credit on invoice.
  3. Value Added Tax (VAT) shall be invoiced at the prevailing VAT rate at invoice date.
  4. NewTech reserves the right to charge interest at the maximum rate allowed by law on all amounts outstanding beyond the payment date(s) shown on the invoices.
  5. Currency fluctuations may cause price changes without notice.

Cancellations

  1. In the event that the customer receives a wrong order or there is a delay in delivery of the products, the customer may apply for the cancellation of the order.
  2. All cancellations have to be approved by NewTech.
  3. NewTech does not accept cancellation for Volume License Orders.
  4. In the event that the order is cancelled on the grounds of non-delivery of the products NewTech shall only be liable to the customer for the monies paid by the customer to NewTech.

Force

  1. Force Majeure means, in relation to either party, any circumstances beyond the reasonable control of that party, including but not limited to, any strike, lock-out or other form of industrial action, fire, flood, riot, governmental or other regulation, Act of God, lightning, aircraft impact, explosion, civil commotion, malicious damage, storm, earthquake, legal enactment.
  2. No party shall be deemed to be in breach of these terms and conditions, or otherwise be liable to the other, by reason of any delay in performance, or non-performance, of any of its obligations to the extent that such delay or non-performance is due to (directly or indirectly) Force Majeure of which it has notified the other party, and the time for performance of that obligation shall be extended accordingly.
